Point-in-time Licensing Assessment: The Assessment aims to give you a point-in-time view of your licensing status and identifies gaps between usage and entitlements.

ELP Report: The outcome of the assessment is 1x Effective Licensing Position (ELP) Report to which calls out areas of improvement if any and ensure compliance with Microsoft agreements.

Terms and Conditions:

Promotion: SPLA Partners can leverage a fully funded SPLA Health Check Assessment (“Assessment”) subject to the terms and conditions outlined below (“Promotion”).

The Promotion commences on 1st July 2025 and is valid until 20th December 2025 (“Promotion Period”).

1. To qualify for the Promotion, Partners must be an existing Crayon (formerly rhipe) Microsoft Services Provider License Agreement (SPLA) partner in Australia or New Zealand and complete the form using the following link: SPLA Health Check Assessment Form (“Assessment Eligibility Form”). (“Eligible Partners”).

2. Eligible partners who complete the Assessment Eligibility Form and receive written confirmation of approval from Crayon (formerly rhipe) that the Eligible Partner has been accepted for the Promotion (“Eligible Purchase”) may receive a fully funded Assessment with an estimated value of AUD $5000 or its equivalent local currency for New Zealand Eligible Partners respectively (“Total Incentive”).

3. The Assessment applies only to your first 250 assets (An asset is defined as any physical server and/or Windows Server virtual machine). Assets in excess of the first 250 will be charged at a rate of AUD $20 (excluding GST) per additional asset. No additional discounts, rebates, or funding subsidies apply to these excess asset charges.

4. For Eligible Partners in Australia, all monetary values are in Australian Dollars (AUD). For Eligible Partners in New Zealand, the rates may be subject to currency fluctuations.

5. The Assessment must be completed within a period of three (3) months from the date of initial deployment of the Octopus Cloud tool. More information can be found using the following link: Octopus Cloud.

6. The Assessment is conducted using the Octopus Cloud tool. Any usage of the Octopus Cloud tool beyond the scope of the Assessment will incur a monthly subscription fee. Please refer to the PRISM portal for current pricing for Octopus Cloud.

7. The outcome of the Assessment is limited to one (1) Effective Licensing Position (“ELP”) report. The ELP report refers to a “point in time” status of your license consumption versus entitlement for your current Microsoft Services Provider License Agreement (SPLA) contract. The Assessment concludes upon the delivery of the ELP report.

8. It is within Crayon’s (formerly rhipe) sole discretion to determine which Eligible Partners will receive the Total Incentive.

9. Eligible Purchases must be made prior to the end of the Promotion Period.

10. For each Eligible Partner, this Promotion is capped at one Assessment with the estimated value of AUD $5000. Eligible Partners will be notified when the overall Promotion cap is reached.

11. Crayon (formerly rhipe) reserves the right to suspend, cancel, change, vary, update or modify the Promotion or terms of the Promotion at any time.

12. Partner acknowledges and agrees that in participating in this Promotion, it and its end users may be subject to any third-party vendor supplier terms and conditions that must be complied with.

13. Partners must not:

a. engage in any conduct that may jeopardise the fair and proper conduct of the Promotion;
b. do anything to diminish the reputation of Crayon(formerly rhipe) or its Affiliates;
c. breach any laws; or
d. behave in any way that is otherwise unprofessional or inappropriate.

14. Except for any liability that cannot by law be excluded, Crayon(formerly rhipe) or any of its respective officers, employees and agents (“Affiliates”) is not responsible for and excludes all liability (including negligence), for any personal injury; or any loss or damage (including loss of opportunity or loss of profits); whether direct, indirect, special or consequential, including those arising in any way out of: (a) any technical difficulties or equipment malfunction (whether or not under the Crayon(formerly rhipe)’s control); (b) any theft, unauthorised access or third party interference; (c) any variation in value to that stated in these Terms and Conditions; or (e) any tax liability incurred by a Partner.Crayon(formerly rhipe) may collect your personal information including but not limited to full name, email, address, in order to conduct the Promotion and may, for this purpose, disclose such personal information to third parties, including but not limited to agents, contractors, service providers, prize suppliers and, as required or applicable, to Australian regulatory authorities. Entry is conditional on providing the personal information requested. Crayon(formerly rhipe) will use and handle personal information as set out in its Privacy Policy, which can be accessed at:https://www.crayon.com/about/privacy-policy/

15. rhipe may, at any time, request from Partner, any proof or evidence of performance or compliance with these terms and conditions. If this Promotion cannot run as planned for any reason beyond the rhipe’s control, due directly or indirectly, software, hardware or communications issues, unauthorised intervention, tampering, fraud or technical failure, act of God, wars, strikes, lockouts, industrial action, floods, fires, accident, earthquake, riot, explosion, terrorism, acts of government, military, civil or regulatory authority, delays or defaults of manufacturers or suppliers, change in any law or regulation, disruption or interruption to the supply of communications, internet, power or other utility or any other cause beyond our reasonable control, rhipe may end, change, suspend or cancel the Promotion.
